Terms of Service

Welcome to Soft Card. These Terms of Service ("Terms") govern your access to and use of our electronic visiting card platform, including our websites, web and mobile apps, QR and NFC sharing tools, widgets, APIs, and related services (collectively, the "Service"). "Soft Card," "we," "us," and "our" refer to the Soft Card contracting entity identified in your order form, invoice, or account profile.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Conditions of Use

Eligibility. You must be the age of majority where you reside (and in any event not under 16) to use the Service. If you access on behalf of an organization, you represent you have authority to bind that organization, and 'you' includes it.

Acceptable Use. You agree not to:

  • Use the Service for unlawful, harmful, deceptive, or infringing purposes or to violate others' rights (including privacy, publicity, and intellectual property)
  • Upload, post, or transmit illegal, infringing, obscene, harassing, hateful, or otherwise objectionable content
  • Send spam or unlawful marketing; harvest contacts in violation of anti‑spam/telemarketing laws
  • Interfere with, disrupt, scrape, or reverse engineer the Service; bypass security; or test vulnerabilities without permission
  • Misrepresent your identity or affiliation or impersonate others
  • Upload regulated sensitive data (e.g., payment card numbers, government IDs, health or biometric data) unless we expressly agree in writing

Team/Enterprise Use. If your organization provides access (e.g., admin‑managed seats), its administrators may control your account, access content (including card data and analytics), and set policies. You must comply with your organization's policies.

Hardware Accessories. The Service can work with certain physical accessories such as NFC cards, tags, or display stands. These items are optional tools that some users may choose to use with the Service. Such accessories are not manufactured by Soft Card. Such accessories are provided by independent third parties and are subject to their own terms, conditions, and warranties. Soft Card does not manufacture, control, or warrant third‑party hardware and is not responsible for any issues arising from their use.

2) Access and Use of the Service

License. Subject to these Terms and any order form, Soft Card grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service to create, share, and manage digital visiting cards, capture contacts, and utilize related networking features.

Accounts & Security. You are responsible for your credentials and all activity under your account. Notify us promptly of unauthorized use. We may require multi‑factor authentication or take other protective steps.

User Content. You retain ownership of logos, photos, contact details, links, text, and other materials you upload ('User Content'). You grant Soft Card a worldwide, royalty‑free license to host, process, transmit, display, and use User Content to operate, secure, improve, and provide the Service (including generating previews, QR codes, links, and analytics).

Sharing & Imports. You are responsible for recipients to whom you share cards (via URL, QR, NFC, email signature, etc.) and for ensuring you have rights/consents to import or scan contacts (including via OCR). OCR outputs may be imperfect; verify before use.

Availability & Changes. Features may change, be limited, or discontinued without liability. We aim for high availability but do not guarantee uninterrupted access.

Fees; Trials; Renewals. Paid features require subscription. Unless stated otherwise, subscriptions auto‑renew for the then‑current term at the then‑current price plus taxes until canceled effective end of term. Except as required by law or expressly stated, fees are nonrefundable. Trials/betas are provided 'as is,' may be limited, and can be ended at any time.

3) Your Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, disclose, and safeguard personal data, and your choices. For enterprise customers, a Data Processing Addendum (DPA) may be available. To the extent of any conflict between these Terms and regional privacy/consumer laws, mandatory local law prevails. We strive to comply with applicable data protection and cybersecurity laws of Bangladesh and other jurisdictions where we operate or target users.

4) Third Party Services

The Service may integrate with or link to third‑party services (e.g., identity providers, CRMs, cloud storage, messaging/email platforms, analytics, payment processors). We do not control and are not responsible for third‑party services; your use is governed by their terms and privacy policies. Enabling an integration authorizes data exchange with that service as you direct.

5) Third Party Distribution Channels

If you obtained our app from a platform (e.g., Apple App Store or Google Play), your use is also governed by that platform's terms. The platform is not responsible for support or warranties unless required by law. The platform is a third‑party beneficiary of these Terms with respect to the app.

6) Intellectual Property Rights

Soft Card IP. The Service (software, interfaces, designs, trademarks, logos, and other content, excluding User Content) is owned by Soft Card or its licensors and protected by intellectual property laws. Except for the license above, no rights are granted by implication or otherwise.

Restrictions. You will not copy, modify, translate, create derivative works, distribute, publicly display, or reverse engineer any part of the Service, except where such restrictions are prohibited by applicable law.

Feedback. You grant Soft Card a perpetual, irrevocable, worldwide, royalty‑free license to use suggestions or feedback without restriction or obligation.

Copyright Complaints. If you believe any material infringes your copyrights, contact our designated agent listed on our site with particulars required by applicable law; we may remove or disable access and, where appropriate, terminate repeat infringers.

7) User Disputes

You are solely responsible for your interactions with other users and third parties. Soft Card may—but has no obligation to—monitor or moderate disputes, and may remove or restrict content or features to protect users or comply with law.

8) Indemnity and Release

You will defend, indemnify, and hold harmless Soft Card and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your User Content, (ii) your use of the Service, (iii) your violation of these Terms or law, or (iv) your infringement or misappropriation of third‑party rights. We may assume the exclusive defense and control; you will cooperate fully.

To the maximum extent permitted by law, you release Soft Card from claims or liability arising from disputes with other users or third parties relating to your use of the Service.

9) Disclaimer of Warranties

THE SERVICE AND ANY THIRD‑PARTY INTEGRATIONS OR OPTIONAL ACCESSORIES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE.' SOFT CARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT; WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR‑FREE SERVICE; THAT DEFECTS WILL BE CORRECTED; THAT DATA WILL NOT BE LOST; OR THAT QR/NFC/OCR/INTEGRATIONS WILL BE ACCURATE OR ALWAYS AVAILABLE. YOU ARE RESPONSIBLE FOR BACKUPS.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFT CARD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

IN ALL CASES, SOFT CARD'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SOFT CARD FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

11) Termination

We may suspend or terminate your access at any time, with or without notice, including if we believe you violated these Terms or law, or to protect the Service or users. You may stop using the Service anytime and cancel renewal (effective at the end of the current term). Upon termination, your license ends and you must cease use. Sections that by nature should survive (including 3–13) will survive. Data retention and deletion follow our Privacy Policy and legal requirements.

12) Dispute Resolution by Binding Arbitration

Informal Resolution. Before filing a claim, email softcard.app@gmail.com with 'Dispute' in the subject and a description. If unresolved after 30 days, the below applies:

Arbitration; Seat and Rules. Except where prohibited by mandatory law, business users agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved, governed by and subject to the currently active laws of Bangladesh under its Rules.

Class/Representative Actions. To the extent permitted by law, arbitration will be conducted on an individual basis and not in a class or representative proceeding.

Consumers. For consumers, this Section does not deprive you of protections under mandatory local law. If consumer arbitration is not enforceable where you live, you may bring claims in your local courts. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized access or use.

Time Limit. Any claim must be filed within one (1) year after it arose, unless a longer period is required by mandatory law.

13) General

Changes to Terms. We may update these Terms by posting the revised version and updating the 'Last Updated' date; changes are effective upon posting unless stated otherwise. Continued use constitutes acceptance.

Communications; E‑Sign. You consent to receive electronic communications and agree that electronic signatures and records satisfy legal requirements.

Export & Sanctions. You will comply with applicable export control and sanctions laws, including those of Bangladesh and other jurisdictions that may govern your use of the Service and any cross‑border transfers.

Anti‑Corruption. You will comply with applicable anti‑bribery and anti‑corruption laws.

Government End Users. The Service is 'commercial computer software' and 'commercial items.' Government users receive only those rights customarily provided to the public.

Assignment. You may not assign these Terms without our written consent; we may assign in connection with a merger, acquisition, or sale of assets, or by operation of law.

Severability; Waiver. If any term is unenforceable, the rest remains in effect. Our failure to enforce is not a waiver.

Entire Agreement; Order of Precedence. These Terms (and documents referenced here, including the Privacy Policy and any order form or DPA) are the entire agreement for the Service. If there is a conflict, an executed order form or DPA controls over these Terms, controls over conflicting global provisions for users in that region.

Governing Law & Venue (Default). Except where mandatory local law applies, these Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict‑of‑laws rules. Subject to Section 12, the exclusive jurisdiction and venue for any non‑arbitrable claim are the courts of Dhaka, Bangladesh, and you consent to personal jurisdiction there. Consumers benefit from any mandatory protections of their country of residence.

Notices. Legal notices to Soft Card: softcard.app@gmail.com and the registered address listed on our website. We may notify you via the Service, email, or your account contact details.

Soft Card - Digital Business Cards
